- Incoterms 2020
- Rules published by the International Chamber of Commerce that set out who arranges and pays for transport, insurance and export clearance, and where risk passes from seller to buyer.
- FOB (Free On Board)
- The seller delivers the cargo on board the vessel the buyer nominates at the named port of loading. Risk passes to the buyer once the cargo is on board; the buyer arranges freight and insurance.
- CFR (Cost and Freight)
- The seller delivers on board at the port of loading and pays the freight to the named destination port. Risk passes to the buyer at loading.
- CIF (Cost, Insurance and Freight)
- As CFR, with the seller also arranging marine cargo insurance for the voyage.
- DAP (Delivered at Place)
- The seller bears the cost and risk of bringing the cargo to the named destination, ready for unloading by the buyer.
- ICPO
- Irrevocable corporate purchase order: a buyer's formal written statement of intent to buy a product on stated terms. A letter of intent serves a similar purpose at inquiry stage.
- KYC (Know your customer)
- Verification of a counterparty's registration, ownership, directors and banking references before commercial terms are exchanged.
- NCNDA
- Non-circumvention, non-disclosure agreement: protects each party's contacts and information, and an intermediary's position, in a transaction.
- Full corporate offer
- The seller's firm written offer, stating product, specification, quantity, price basis, delivery term and procedure.
- Sale and purchase agreement
- The contract that fixes price basis, schedule, inspection and payment for a cargo or a supply program.
- Documentary letter of credit
- A bank's undertaking, issued at the buyer's request, to pay the seller when shipping documents that comply with the credit's terms are presented.
- Standby letter of credit
- A bank's undertaking to pay if the buyer does not, used alongside open-account or cash-against-documents terms.
- Cash against documents
- Payment by bank transfer when the agreed shipping documents are released to the buyer.
- Escrow
- Funds held by a regulated third-party agent and released when the contract conditions are met.
- Bill of lading
- The document a carrier issues for cargo loaded on board. It evidences the contract of carriage and serves as a document of title.
- Certificates of quality and quantity
- Reports issued by an independent inspection company that samples, tests and measures the cargo at loading.
- Demurrage
- Compensation owed to the shipowner when a vessel is kept beyond the agreed time for loading or discharge.
- MMBtu
- One million British thermal units: the usual unit for pricing natural gas and LNG.
- API gravity
- An American Petroleum Institute scale of how heavy or light a crude oil is compared with water; part of a crude oil assay.
- Mandate
- An intermediary who holds written authority from a buyer or a seller to act for them in a transaction.
